Beyond the name, the circular changes the order in which accounts may be opened, allows separate accounts for separate contributed currencies at the same bank, and permits certain foreign-invested economic organisations to open an investment capital account before an investment registration certificate has been issued or amended.
Revised in response: What Circular 38/2026 changed
This entry was written from published legal commentary rather than from the text of the circular. This article has been drafted from published legal commentary on Circular 38/2026/TT-NHNN, not from the text of the circular itself. Article numbers and the detail of each change still have to be verified against the official Vietnamese text. Do not act on it yet. Legal position as at 16 September 2026 Legal basis Instrument What it governs In force from Circular 38/2026/TT-NHNN Opening, operation and closing of foreign investment capital accounts 18 August 2026 Replaces Circular 06/2019/TT-NHNN.
On 31 July 2026 the State Bank of Vietnam issued Circular 38/2026/TT-NHNN. It took effect on 18 August 2026 and replaced Circular 06/2019/TT-NHNN, which had governed foreign exchange for foreign direct investment since 2019. It also amended Circular 03/2025/TT-NHNN on the Vietnamese-dong accounts used for foreign indirect investment.
If your company is foreign-invested and holds a capital account in Vietnam, this affects the account you already have, not only accounts opened from now on.
What actually changed # The account has a new name # The circular replaces the term direct investment capital account (tài khoản vốn đầu tư trực tiếp) with foreign investment capital account (tài khoản vốn đầu tư nước ngoài) .
This matters more than a renaming usually would. Almost every English-language guide, and a good deal of bank documentation, still says “DICA”. For the next year or two you will see both terms used for the same thing, sometimes in the same file.
You no longer have to open the foreign-currency account first # Under the previous framework the foreign-currency capital account came first and the Vietnamese-dong account followed. Circular 38 allows an investor to hold foreign-currency and Vietnamese-dong investment capital accounts at the same licensed bank without having to establish the foreign-currency account before the dong one.
Capital contributed in more than one currency # Where investment capital is contributed in different foreign currencies, separate investment capital accounts may be opened for each of those currencies at the same bank.
The account can be opened before the investment registration certificate # This is the change that has drawn the most attention. Certain foreign-invested economic organisations may now open an investment capital account before an investment registration certificate (giấy chứng nhận đăng ký đầu tư) has been issued or amended.
Under the old sequence a company could find itself unable to receive capital because the account could not be opened until the certificate existed, while the certificate process itself assumed funds were available.
Reported as Articles 6.1(b), 7.5(b)(i) and 7.6 of Circular 38/2026/TT-NHNN. Article numbers not yet verified.
Capital from the International Financial Center # The circular extends to capital moving from Vietnam’s International Financial Center into the rest of the country, under Decree 329/2025/ND-CP, alongside conventional foreign direct investment.
Circular 06/2019 compared with Circular 38/2026 # Item Under Circular 06/2019 Under Circular 38/2026 Name of the account Direct investment capital account Foreign investment capital account Order of opening Foreign-currency account first Either order, at the same bank Multiple currencies Restricted Separate account per currency, same bank Timing against the IRC After issue or amendment Before issue or amendment, in defined cases International Financial Center Not covered Covered What an operating company has to do # Bank practice. Published commentary recommends reviewing the accounts you already hold to identify any that now have to be closed, and speaking to your authorised bank in advance about what it will want in the dossier. That second point is worth taking seriously: banks read a new circular at different speeds, and the first file submitted under a new framework is usually the slowest. Legal position as at 16 September 2026 Legal basis Instrument What it governs In force from Circular 186/2010/TT-BTC Conditions and procedure for remitting profit abroad To be confirmed Circular 38/2026/TT-NHNN The account the transfer must run through 18 August 2026 Most remittance files are not refused on the law. They are sent back because the documents do not hold together — a figure that does not reconcile, an obligation still outstanding, a signature from someone the bank has no mandate for. The rule is rarely the problem. The file is.
These are the reasons a file comes back, roughly in the order they come up.
There are accumulated losses # A company can be profitable this year and still be unable to remit, because accumulated losses (lỗ luỹ kế) from earlier years have not been cleared. This catches companies that have had a good year after several bad ones, and it is the reason most often misunderstood by a parent company looking only at the current year’s result.
Tax and other obligations are not settled # Financial obligations to the state have to be discharged before profit is distributed, and the company has to remain able to meet its debts afterwards. In practice this means corporate income tax, value added tax and any special consumption tax are paid and reconcilable, not merely declared.
The financial statements are not audited, or not the right ones # Remittance rests on audited financial statements (báo cáo tài chính đã được kiểm toán) for the year the profit belongs to. An unaudited statement, a draft, or a statement for a different period will not carry the file.
The tax authority was not notified in time # Notice has to reach the tax authority (cơ quan thuế) a set number of working days before the transfer — commonly stated as seven. A file that is otherwise complete will simply wait until that period has run.
The transfer is routed through the wrong account # Profit leaves through the investment capital account, not through the company’s ordinary current account. Since Circular 38/2026/TT-NHNN this account is called a foreign investment capital account (tài khoản vốn đầu tư nước ngoài) ; older documents call it a direct investment capital account.
The signatory is not the person the bank has a mandate for # The person who signs the instruction has to be the person on the bank’s specimen signature record, with authority that matches what the corporate documents say. A change of legal representative that was never notified to the bank stops a file at the counter regardless of how correct everything else is.

Draft — not yet checked against the instruments.
